Anthropic, the company behind Claude AI models, has filed a registration statement with the US Securities and Exchange Commission (SEC) for a proposed initial offering (IPO) of its class A common stock.

The company plans to list its shares on the Nasdaq Global Select Market under the symbol “ANT.” However, the number of shares of Class A common stock to be offered and the price range for the proposed offering have not yet been determined.

Anthropic said the proposed offering would be made only through a prospectus. The registration statement has been filed with the SEC but has not yet become effective. The Anthropic IPO registration comes after the company was valued at $965 billion following a major investment round in 2026.

“A registration statement relating to these securities has been filed with the SEC but has not yet become effective. These securities may not be sold, nor may offers to buy be accepted, prior to the time the registration statement becomes effective,” the company said.

It further added that its shares cannot be sold, and offers to buy them cannot be accepted, until the registration statement becomes effective. The announcement does not constitute an offer to sell or a solicitation to buy securities.
